In order of preference:

1. Take care of all of the various oil and transmission leaks. Unfortunately, most tend to have some sort of leaks. Most can be taken care of by replacing a gasket or two.

2. Electonic ignition. Best #1 upgrade for improved reliability.

3. Go with a 3 row recored radiator or a aluminum 320i radiator. The '02 really had a marginal cooling system.

4. Switch to better seats. 320is Recaros are nice and a drop in replacement. Real Recaros are also an excellant alternative, just more expensive.

5. 5 speed transmission from a 320i. This will bring the down the rpms and give the car an entirely new personality.

6. If you do any spirited driving, a switch to a 320i limited slip rear differential is also a good upgrade.
