I have also looked at both and driven the 323 once and the Passat in both V6 and 4 cylinder varieties. The Passat has more room, especially in the back seat and by far in the trunk. The V6 is very nice. In any comparable configuration (leather, automatic, etc.) it's also considerably cheaper. The powertrain warranty is super-lon(10 years/100k), but the bumper to bumper is unusually short (2/24) and it's probably cheaper to have worked on. Watch out on the bimmer for all the things you have to pay extra for, too, like a folding rear seat. Drive them both. You can't go wrong. Try the A4 too. Very nice and about the same money as an optioned 323.
