1. Invoice price for base 323i plus sport package is $26140. People seem to pay on average $1500 over invoice. This will probably depend on the area you live in, your negotiation skill, and the dealer you're buying from.
2. Not easily at the moment. If you look at mods for E36, chip add 10-20hp for about $400, while supercharger add 80hp for about $5500. So any mod for E46 will probably be in this ballpark.
3. For manual transmission, the difference in 0-60 time between 323i and 328i is only 0.5 seconds. This can be important to some people but not to others. The best way to tell is to test drive both models and decide for yourself.
