I have a 2000 323i, and there is no panic button on the key. According to the video that comes with the car, if you have an alarm, the panic mode is activated by pressing and holding down the trunk release button.

As for the audible, again, you have to have the alarm installed. Then when you lock the doors, the lights will blink and you'll hear an audible. This can be reprogrammed to just the blinking lights or I think just the audible at your dealer.
