Cher Jay,

Let me share my experiences.
1)Software upgrade has never been a good investment. The horsepower & torque gain is too unsignificant for the amount of the money you spend.
2)As for the exhaust, Dinan unit is just a modified factory unit (with you know how profit margin). I'd suggest you to get a supersprint unit(or a tuner's unit such as Racing Dynamics, Hamann, or Schnitzer since they are made by Supersprint, anyway. However, every tuner has a different specs according to their engine need). The supersprint unit has a very good flow and entertaining sound (not-too-loud-hi-tech-sound).
3) I'd recommend you to stay away from the cold air intake unless you are meticulously cleaning it every week. The cold air intake does not give a significant effect when you dyno the car. None of European tuners uses cold air intake. The side effect is too damaging compared to the gain (unless you're a hardcore performace freak). Your engine will be exposed to a great amount of dust and moist, especially if you don't clean and oil your K&N filter. I had a supercharged Dinan M3 before (cold air intake included). I only cleaned up the filter once in three months due to its inconvenience position. I opened the intake manifold one day and was surprised on how dirty the intake manifold was.
