As far as the seat cover goes, yes BMW makes one specifically for the E38's. It is intended for pets and the like and probably won't protect the seat from dents. It's made of vinyl and hooks over the front and rear headrests - also has flaps that protect the rear doors. Available in black only, so if you have a light interior, it will stick out like a sore thumb. I use mine regularly to carry an 80-pound Doberman and a 12-pound Min-Pin. No scratches or dents from toenails yet (too bad it can't keep saliva off the windows!) Also helps control hair from spreading everywhere.

As for the noise, there are several fans, motors etc. that start with the car. These are probably what you're referring to. Turn the key to position 2 with the radio off and listen. It's pretty amazing how much starts when you turn the key.

Hello all, your help so far has been appreciated. Two more things. We have a noise, I am sure it's a fan noise at start up and sometimes when the car is shut off. This is with the radio turned down. We didn't notice it the first few days. Any thoughts? Also, does anyone know of if any one makes a cover for the rear seats to protect them from car seat dents. Our Evenflo baby seat are going to ruin the seats. I stuck a towel under it for now but that looks corny.
One more thing, I posted that the navigation system sucks a couple weeks ago and someone mentioned that I would like it better once I got the manual. Well I am sorry to say, that I think it still sucks and the Acura system is still better by a couple miles. BMW should use the Japanese principle of KISS (Keep it Simple, Stupid)
