'97 540i vs '97 740i (archive)

I've found 2 cars that I'm interested in buying and I'd like some advice on which one is a better option.

There's this '97 540i w/ 56K mi, GPS, automatic, blk on blk, registered as a lease car for commercial purposes, one owner for $28K and a '97 740i w/ 41K mi, blk on blk, registered as a lease car for commercial purposes, 2 owners for $29K.

Both have clean CarFax reports. What else should I be looking for and are there any known mechanical issues with either car? I'm wondering if maintenance will be more expensive and/or more often on one over the other. And is the performance on one better than the other.

This car will be used for day to day commuting.
