Heat Shield is a stamped sheet metal piece held to the top of the exhaust manifold with a couple bolts. Mine was rattling (sort of a tinny sheet metal clatter) because years of vibration/heat/rust had caused the metal to crack around the mount bolts. I just took it off completely, one less thing to rattle.

Looking for a sheet of gasket material to replace it. That will block heat and never rattle.

Under the passenger seat there is a bracket that hols the exhaust pipe. It has two rubber mounts that can wear out with time. Check their condition and replace. BMW dealers sells them for +/- $10 each.
