The cost of converting a 320i to a six and adding the brakes will far excede what a decent 323i can be had for.

As with any used car, buy absolutely the best one you can afford.

Depending on your definition of cheap (do you mean less than a 1000, less than 3000, or less than 5000?)

the 4-5000 range will buy you a nice 323i that needs very little. I have seen complete but "tired examples as low as 1500.

Generally speaking, becuase of the effort required to get one into the country, they are better cared for than the 1000-1500 320i although this is not always true.

If that's not an otion the second choice would be a nice 80 up 320iSand find a used turbo kit.

I want a very fast, pretty e21 but I am on limited funds, Should I try and try to get a 323, or should I get an ultra cheap 320i and modify it over time? How easy is it to swap a 2.7L eta engine into the 320i? Will it bolt up to the 5 speed OD that comes with the 320i? Is it possible to put an e30's rear disc brakes on the back of a 320i (that came with drums)? How hard would that be?
