Why not do both? The 745 engine price sounds great if it's a decent engine.
I'd do the head gasket job (about a 6 hour job the last time I did it), and enjoy the car while I freshened up the 745 engine (if the bores and pistons look OK, I'd hone the cyls, put in new rings, bearings and gaskets while inspecting and resusing the rest).
There is a web page on a 745-645CSi conversion you should look at before you get the idea it's a drop in replacement, though.

He's got neat photos and hints. He wasn't quite done the last time I looked in, but he might be now. It would be a great project for a primo body/chassis as with all the work it would be a long term keeper and collectable (for me at least).
