I don't think the chip tuning will interfere with the exhaust. If the Jim C chip is better than the Dinan (I've noticed it is), then go with the Jim C chip and Dinan exhaust. Replacing the cat with a resonator is about the only gain you'll find in the exhaust on a stock M3. Mufflers only reduce weight and increase noise. Yes, you may see an increase in HP on the dyno, but anything under a 5hp gain is statistically insignificant. You can get 5hp by getting a new air filter, or replacing the plugs, or indexing the plugs, or whatever.
