You can't go wrong with either, but since you asked . . .

1) Price: You can buy the nicest E34 M5 or 540i 6-speed less than a nice 528i.

2) Looks: It's a matter of opinion, but a nicely-done E34 is more likely to turn my head than any E39 except for the E39 M5.

3) Exclusivity: If you get an E34 M5, you'll be getting the last of the hand-built genuine ///M cars.
