The 540i/6 and the M5 are very close in performance. The 540i has the advantage over the M5 in cost of ownership, 540i parts/labor isn't cheap, but there is always the ///M multiplier. The M5 will perform better in every category, which you would expect, but the difference may not be worth the extra costs involved for a lot of people, which may include you. I would imagine the M5 would hold its resale value a little better, provided it is well maintained. Which reminds me, make sure you buy an M5 that was taken care of. A $16k bargain can turn into a $10k+ engine rebuild nightmare.

Better than listening to me is reading some of the various FAQs and things dealing with E34s. Bruno's site is on the bleeding edge of E34 sites and I shouldn't need to repost the link here for the 300th time today. Another good source of E34M5-specific info is at the link below.
