It will be fine. There was an E28 M5 you know, using the S38B35 motor. The E34M5 motors(S38B36,S38B38) i beleive are heavier, but if so then not by too much.

How does the weight of an S38 motor compare to an M50 motor (i.e. 3.5 litre 2 valve found in std E28/E34 535i)? I'm considering dropping an S38 into an E28 but am wondering about weight distribution. Has anyone done this?.... any advice?
TIA
