Not to belabour the point, but if you're losing the S38, the E39 chassis is nice to have. I have found it to be quite a bit stiffer than the E34, giving the impression of greater solidity. The rear suspension is also a lot more 'stable' as is to be expected.

The E34 540i 6-sp is much less expensive though. I saw one for $17k, 111k miles in pristine condition just recently, albiet with Nikasil block.
