You will also absolutely require the wiring harness and computer. If this is a used engine, you will also need the keys for that engine/car.
if it's a '93 or higher 325 you don't need to replace the computer or harness, and thus no worries about EWS. You will, however, have to put a new chip in the computer to redo the fuel and timing maps. keep your intake manifold. I didn't replace the air flow meter, but I already had a cold air intake. I will be looking into the air flow meter, however, now that you've mentioned it.
Exhaust, you need only replace the downpipe from the headers to the cats. the M3/328 pipes are dual all the way to the cat, while the 325 constricts down to a single very narrow pipe before it opens back up to two right in front of the cats.
You might as well put in the M3 clutch while you're at it, since you'll have the entire engine out of the way. No need to replace the tranny unless you're thinking turbo 3.2. It's a big hassle to replace- you have to replace everything back to the wheels. tranny, driveshaft, and diff.
You might want to consider M3 brakes on the front while you're at it. They help. The only part that needs replacing is the spindles, other than that they bolt right on. Forget the rears- too much to replace.
