I just did mine this summer (97 328is) if everything is the same... those 4 plastic clips are 'one time use' and need to be replaced (about a dollar a piece, at the dealer) the third brake light needs to be removed, and the trim from the rear pillars. I'm not sure if I had to take off the trim panel on either side of the back seat but I was putting deadener there too (also needed some clips to reattach) that's about it, not that much of a PITA, took me an afternoon. BTW I don't know what material your planning on using but I had really good luck with hi-temp mastic from mcmaster.com it's about 1/3 the price of dynamat and AFAIK exactly the same thing without the silk screening.. just make sure you heat it up really good (hot enough so you need gloves to handel it) I used the oven (set the oven for 200, put the mastic on some tin foil and bake for 3-4 minutes) alot quicker then using a heat gun, especially if you can bribe someone into helping you. then you can roll while they bake :)
