Itemized thoughts:
1. Better decide on your priorities. Price? Cost of ownership? Performance? Looks? Styling? Long-term ownership?

2. If you keep it, you don't owe the penalty, but you'll be out a lot of dough anyway.

3. My guess is, you'll probably miss the M3 more than you'll enjoy the thrill of a new 328. If so, you may find yourself in a year, wondering how to get into a new M3. If that's likely, maybe you should buy your 98 now. You could consider the 3K penalty somewhat of a given... use some of that dough to get the car certified by the dealer, then drive it a couple more years. Besides, you'll still have the remaining 10K factory warranty in addition. btw, the basic certif charge just for the extra two years is $850. You tack on a few more bucks for necessities, like brake pads and tires, if nec. So the cert can run from about 1k to an unlikely 3k tops. You know the car's history. If it's been well maintained, then maybe your risk is lower.
