I have a 98 M3/4 and a good friend has a 2000 S4. They're both great cars but it all depends on what you want them for.

If you are never going to track/race your car, and you like the convenience of 4 doors the Audi is probly best for you. It has a much softer suspension so you won't get as beat up on bad roads and the low torque is a lot of fun.

If you want the faster car, then that all depends. Stock to stock they are close on a straight line although the M3 crawls away at speed. With mods the S4 is faster - we visited Pocono and returning to the hotel we raced from 60 and he RAN away!!

But then there is the durability issue if you race/track. My friend has had too many problems with the S4 from tracking it. He has blown a turbo (10k in repairs that the dealer did for free - Audi warranty is very good), goes through twice as many tires and brake rotors as me, had a problem with the drivetrain, etc. In sum, I don't think the Audi can take the beating. And although the S4's straight line acceleration is spectacular, it does poorly at autocrosses (go to any club board and compare times with the M3's) because of the weight induced understeer and the powersteer - only on rainy days does it have a chance.

On the other hand, we made a trip in the S4 during winter and it snowed all the way - All I can say is WOW!!! That quattro is like magic!! I would have crashed, gotten stuck doing any of the simple stuff the S4 did. Honestly, it will embarrass even the best SUV out there. Were as I have to park my car during winter, on the contrary, the S4 is the car to be in on a snowy winding road.

In sum, it depends on what you want the car for.
