Well Andy..... I think you should stop reading right now... because reading what I am about to say will cost you ALOT of $$$ :)

I absolutely love the 540s, Dollar for dollar 540 is a better buy.(for a price difference of $25,000). M5 is a better car, but if you're to quantify the "better-ness", I can tell you it is NOT 1.5X of a better car than 540. Having said that....

M5 is definitely a better car. M5 is everything that 540 wants/tries to be, but isn't. And here's why:
1) M5 tranny is tighter, and more solid
2) M5 engine pulls like the 540. Except the engine revs like there's no end to it.
3) Driving an M5 w/ the DSC off requires "balls of steel". Driving the M5 in rain w/ the DSC off is SUICIDE!!
4) M5 can break the (HUGE) rear tires lose on dry pavement (w/ DSC on) on 1st, 2nd, 3rd and 4th gear. Don't ask me how I know... just trust me :)
5) Every bimmer you run into on the road will give you a "double take" .And get used to strangers on the road, who rolls down their window and give you the "thumbs up" gesture.That has never happen in my 540.
6)20 years from now....the E39 M5 will still be remember as the "first V8 M5" with 398HP. but a 540 will be ..well... "that 5 series w/ a V8 in it)
7)ohhhh!! the Servotronic steering system, The quad exahust. the anthracite headliner. The white bezel dash. The tire presure sensor (not that useful, but I've always wanted it on the 540 but couldn't!) The M lighted shifter. etc...

I've owned my M for 4 months now... and I still can't get over the fact now nice the M5 is... YES!! It was hard to swallow a price tag that's 150% more than my fully loaded 540. But... now that money is spend, I have no regrets.

ONE thing that I do miss is the "comfort start" function on my 540ia. Yes!! I am too lazy to hold the key until my car starts... :)

A couple things thou:
I've been told that 2002 is indeed the final model year, So you may not get your wish.

Never count out the M5 euro delivery. If sales lag in the coming months, you may get your wish (of Euro delivery discount on M5) That's what I've been told.

I'd be curious to hear more of your impressions about your move from the 540 to M5. I'm hoping there will be a MY2003 available because I'm thinking LeMans might not be so bad a change.

The reason I didn't go straight to the M5 was because of reliability concerns i.e being 400 miles from a stealer. I'm feeling more confident not having had a problem on my 540 so far and it seems that clutch and oil consumption problems are less threatening these days. Too bad there's not a financial incentive to do another Eurodelivery:(
